By The Same Token: The ceiling is the curriculum

ICE is rehearsing the market it may later scale
OKXICE’s restricted venue can turn a temporary exemption into a reusable operating manual.
Each token’s trading cannot exceed 0.25% of the stock’s prior-month volume. Breach that limit repeatedly and trading in the name pauses for three months.
Those are odd specifications for a venue chasing volume. They make more sense for the product OKXICE is proposing: an operating playbook that ICE could reuse beyond today’s restrictive proposed market.
The OKX and Intercontinental Exchange joint venture notified the SEC that it intends to launch a tokenized-securities venue under the agency’s innovation exemption. The proposal covers round-the-clock trading in U.S. shares. No approval or operating launch has been reported.
A small market can produce a large manual
OKXICE is seeking to start with 63 NYSE-listed shares, close to the reported limit of 75 top-tier stocks per venue. Issuers then receive a 30-day period in which to object to their shares being tokenized.
The design caps breadth, flow and duration. The temporary exemption is scheduled to expire in 2031, while repeated violations of the per-stock volume ceiling trigger a three-month trading pause. A venue built under those conditions has little chance of becoming a near-term rival to the consolidated U.S. equity market. It can still teach ICE how a tokenized venue behaves under supervision.
A capped market can be an uncapped source of institutional knowledge.
ICE gets to observe which investors arrive outside conventional market hours, how liquidity providers price shares when the primary exchange is closed, which issuers object, where surveillance alerts cluster and how often token activity presses against the exemption’s limits. It also gets to build procedures under the SEC framework rather than present a finished system after the rules are permanent.
The joint venture combines different institutional muscles. OKX brings digital-asset accounts and experience running continuous markets. ICE brings exchange operations, data and familiarity with the regulatory obligations surrounding U.S. equities. ICE acquired its stake in OKX in March, Markets Media reported. The exemption gives the pair a controlled environment in which to turn those capabilities into one rulebook.
This continues ICE’s recent pattern without repeating it. When we covered its tZERO collaboration on September 1 and its platform plans on September 3, the emphasis was infrastructure and design partners. Today’s filing adds prospective order flow, named securities and venue-level operating constraints. It moves ICE from preparing components toward rehearsing a market.
OKX has already tested the distribution side elsewhere. It began offering more than 40 tokenized U.S. stocks and exchange-traded funds against USDT in selected regions on September 7, then added pre-IPO derivatives for eligible European traders. When we covered those European markets on September 16, the products sat inside a derivatives and regional-eligibility framework. OKXICE now has to connect crypto-style access to U.S. securities rights and U.S. market supervision.
The exemption governs the flow
The headline service is 24/7 onchain trading. The more consequential machinery sits behind the clock.
Outside conventional hours, the venue has to support price formation while the conventional U.S. equity market is closed. Market makers therefore carry inventory and gap risk for longer periods. They also need rules for corporate actions, primary-market halts and the reopening of the conventional session.
The volume cap turns that market-making problem into a control problem. OKXICE must calculate each stock’s prior-month volume, translate 0.25% of it into an enforceable threshold and monitor token trading against the threshold continuously. A venue approaching the ceiling may need to throttle orders before a breach, warn liquidity providers or halt a token. A repeated breach produces a much larger penalty: three months without trading that security.
Those controls are useful beyond this exemption. A permanent regime may replace the present cap with other thresholds involving concentration, investor eligibility, volatility or capital. The same venue architecture must ingest external reference data, apply security-specific limits and generate an audit trail showing when and why trading was restricted.
Issuer objections create a second workflow. Issuers can ask to be excluded from tokenization. Each company therefore needs notice, a defined response channel and a reliable mechanism for exclusion. Handling NYSE issuers becomes part of the plumbing, not merely a distribution advantage.
Sixty-three requests will also provide a revealing sample. Silence from most issuers would support the premise that tokenization can proceed as an additional trading format. A wave of objections would show that listed companies regard control over digital representations, shareholder communications or corporate actions as part of their franchise.
Instant settlement still needs a balance sheet
OKXICE describes a model with instant settlement, self-custody and full shareholder rights. Those three claims need to fit together.
If a buyer pays with tokenized cash, the venue must define the settlement asset and its issuer. A stablecoin puts cash-leg risk on the stablecoin issuer and its reserve arrangements. A tokenized bank deposit leaves the liability with a bank. Prefunded fiat held through an intermediary introduces that intermediary’s balance sheet and operating hours. The available reports did not identify the settlement asset.
The securities leg raises its own questions. Full shareholder rights require a dependable connection among the token, the registered position and the processes for dividends, votes, splits and tender offers. Self-custody describes control of a wallet key; it does not by itself establish where the underlying share is recorded or who corrects the ledger after theft, sanctions screening or a mistaken transfer.
Reports also did not specify the chain, the custodian or registrar arrangement, or the mint-and-burn process connecting tokens to shares. Until those details are public, “instant settlement” describes the speed of a ledger movement rather than the completion of every legal and cash obligation.
The proposed temporary venue would give ICE a place to resolve those questions transaction by transaction. Conventional U.S. equities settle on T+1 through intermediaries with established default management. Atomic delivery-versus-payment could compress the interval to T+0, reducing replacement exposure while increasing the need for prefunding. Liquidity that once covered settlement over time must be available at execution.
Counterparty risk changes location accordingly. Investors may avoid some broker custody by holding tokens directly, yet they depend more heavily on whoever maintains the token-share linkage and supplies the settlement money. Market makers face the venue, wallet and cash issuer as well as the economics of the stock. ICE could learn which party needs capital, indemnities and recovery authority when one leg fails.
Scale remains a credible prize
Even under the caps, continuous access to dozens of large U.S. equities could support a meaningful venue. One-quarter of 1% of trading in a heavily traded stock is still material activity, and a roster of 63 names offers enough breadth for investors to build positions rather than sample a demonstration.
Early liquidity can reinforce itself. Market makers integrate once, wallets learn one asset standard and investors concentrate where spreads are tightest. If the SEC later makes the exemption permanent or expands its limits, OKXICE could begin that phase with operating history while competitors are still testing controls.
Evidence from the venue can settle which interpretation is stronger. Broad issuer acceptance, recurring activity near the caps and tight pricing outside NYSE hours would show that the restricted market already has commercial force. Frequent pauses, thin overnight books or ambiguity around shareholder rights would leave the experiment valuable mainly as an ICE regulatory rehearsal.
Either outcome produces an asset for ICE. One is a functioning venue. The other is a detailed map of why one failed under the first U.S. framework.
What I'd watch
The first decision point is the end of each issuer’s 30-day objection period: the surviving roster will show whether 63 proposed names translate into usable inventory. After launch, watch the first prior-month volume calculations and any security approaching the 0.25% ceiling, because throttling methods will reveal how OKXICE intends to police itself. Before the exemption’s scheduled 2031 expiry, the decisive SEC action will be whether it proposes permanence, higher limits or a replacement regime—and whether ICE can carry the procedures tested here into that broader market.
